GENERAL TERMS AND CONDITIONS OF SALE

FILTRA VIBRACIÓN, S.L., with Tax ID No. B60204880, registered in the Commercial Registry of Barcelona, Volume 24,853, Page 176, Sheet B-80294, Entry 1, governs its commercial policy in accordance with the following General Terms and Conditions of Sale.

1. Scope of Application and Contract Formation

These General Terms and Conditions of Sale (hereinafter, the “Conditions”) apply to all sales operations of products and services carried out by Filtra Vibración. Any order implies full and unconditional acceptance of these Conditions. The contract shall be deemed confirmed once the customer provides written acceptance of the order. Any modification must be expressly formalized in writing and must be agreed upon and accepted by both parties.

2. Orders and Documentation

All orders are subject to acceptance by Filtra Vibración. The information contained in catalogs, brochures, quotations, or commercial documents is for informational purposes only, unless expressly stated otherwise. Orders for products manufactured according to customer specifications may not be canceled once confirmed. Filtra Vibración reserves the right to reject orders without assuming any liability.

3. Product Delivery

Delivery dates are indicative and may be affected by force majeure or circumstances beyond the company’s control. Partial deliveries may also be made and invoiced accordingly.

Unless otherwise agreed by both parties, delivery shall be made under EXW (Ex Works) terms from Filtra Vibración’s warehouses. The risk transfers to the customer at the moment the products leave our premises. The customer shall bear all costs associated with transport, unloading, and insurance. If Filtra Vibración arranges the shipment through its own carrier, no claims will be accepted more than 48 hours after receipt of the goods. If the packages arrive with transport-related damage, this must be noted on the carrier’s delivery note and properly documented, including images to be sent to calidad@filtra.com.

4. Price and Payment Terms

The indicated prices do not include taxes, fees, or additional costs unless expressly stated. The first order shall be paid in advance, unless otherwise agreed by both parties. Subsequent transactions will follow the agreed payment terms. The customer may not withhold payments due to potential claims, which Filtra Vibración commits to resolving with due diligence. In the event of non-payment, late payment interest will be applied, and deliveries may be suspended or the contract terminated.

5. Warranty

The supplied products are warranted against manufacturing defects for a period of twenty-four (24) months from the date of delivery. This warranty covers the free repair or replacement of defective parts. Shipping costs shall be borne by the customer unless otherwise agreed. Filtra Vibración will cover material and labor costs for the replacement of parts within the shortest possible time.

The warranty does not cover damages resulting from normal wear and tear, improper use, unsuitable environmental conditions, or unauthorized handling. Any unauthorized intervention will void the warranty.

6. Returns

Returns will only be accepted if previously authorized by Filtra Vibración through the official return request form, duly completed. Returns without this authorization will not be accepted. Products must be returned prepaid, in their original condition, unused, and in their original packaging.

7. Retention of Title

Filtra Vibración retains ownership of the supplied products until full payment of the agreed price has been received. In the event of non-compliance, the company may reclaim the products without the need for judicial authorization. The customer may not transfer, sell, or pledge the products until full payment has been completed.

8. Limitation of Liability

Filtra Vibración’s liability is strictly limited to direct damages resulting from product defects or breach of contractual obligations. Under no circumstances shall Filtra Vibración be liable for indirect damages such as loss of production, loss of profits, third-party claims, or costs related to business interruption.

9. Applicable Law and Jurisdiction

These conditions are governed by Spanish law. For the resolution of any disputes, both parties expressly submit to the jurisdiction of the Courts of Barcelona, expressly waiving any other jurisdiction that may correspond to them.
